UTAH CHAPTER OF
THE AMERICAN STATISTICAL ASSOCIATION

ARTICLE I - NAME
This organization shall be known as the Utah Chapter of the American Statistical Association.
ARTICLE II - PURPOSE
The purpose of this organization shall be to foster in the broadest manner statistics and statistical applications, and to promote unity and effectiveness of effort among all groups in the state of Utah having an interest in or being concerned with statistics.
ARTICLE III - MEMBERSHIP
Membership in the Chapter will be by approval of the Chapter Executive Committee and upon payment of appropriate dues. This Committee may delegate this function of approval. The membership of the Chapter shall consist of three categories:
- Regular Members: Persons admitted to membership who hold membership in the American Statistical Association.
- Associate Members: Persons admitted to membership who are interested in statistics in general or in the organization in particular, but who are not members of the American Statistical Association.
- Student Members: Persons admitted to membership who are full-time undergraduate or graduate students. This will include persons who are ASA student members.
ARTICLE IV - OFFICERS
The officers of the organization, who shall be Regular Members of the Chapter, shall be a President, Past President, First Vice President, Second Vice President, Secretary, Treasurer, and Chapter Representative to the ASA Council of Chapters. Among the President, Past President, and First Vice President, one officer shall be from north of Salt Lake County, one from Salt Lake County, and one from south of Salt Lake County. The officers shall serve as the Executive Committee of the Chapter. The officers shall be duly elected by a majority vote of the Chapter members casting ballots prior to the Annual Meeting of the Chapter. The Executive Committee may appoint a Regular Member of the Chapter to fill any vacancy which occurs in an office between elections. Regular members can be invited to assist the Executive Committee on an as needed basis.
The duties of the officers are as follows:
The President shall preside over and make arrangements for the Annual Meeting, all meetings of the Executive Committee, and local meetings in his/her local area. The President shall preside over any meeting that he/she attends.
The Past President shall be responsible for the nomination of candidates to appear on the election ballot, shall preside in the absence of the President and First Vice President, and make arrangements for local meetings in his/her local area.
The First Vice President shall preside in the absence of the President and make arrangements for local meetings in his/her local area. The First Vice President shall succeed to the Presidency in the event of the resignation or incapacity of the President, in which event the First Vice Presidency shall be filled by special election.
The Second Vice President shall preside in the absence of the President, the First Vice President, and the Past President. The Second Vice President shall succeed to the Presidency in the event of the resignation or incapacity of the President while the First Vice Presidency is vacant in which event the First Vice Presidency and the Second Vice Presidency shall be filled by special election. The Second Vice President shall oversee the administration of the Web Page.
The Secretary shall keep the minutes of the Annual Meeting and such other meetings as directed by the President, shall notify members of meetings and elections, and shall maintain correspondence between the Chapter membership and the American Statistical Association.
The Treasurer shall keep the roll of members of the Chapter, receive and disburse Chapter funds, and maintain records of Chapter finances.
The Chapter Representative to the ASA Council of Chapters shall represent the interests of the Chapter in the annual meetings of the Council of Chapters of the American Statistical Association and shall give an annual report on the activities of the Council and the Board of Directors of the American Statistical Association to the membership of the Executive Committee.
The Executive Committee shall meet at the direction of the President to conduct the business with which it is charged herein.
ARTICLE V - TERMS OF OFFICE AND ELECTIONS
A person elected as First Vice President shall serve in succession a year each as Vice President, President, and Past President. The Second Vice President, Secretary and Treasurer will serve 2-year terms with the Secretary elected in even numbered years and the Second Vice President and Treasurer elected in odd numbered years. The Chapter Representative shall serve a 3-year term with the dates determined by the ASA Council of Chapters rotation pattern. Terms of service for the year shall start June 1 and end May 31.
The Past President shall annually nominate candidates (by April 1) for the First Vice President, and whichever other positions (among Second Vice President, Secretary, Treasurer, and Chapter Representative) are scheduled for election that year. The Second Vice President, Secretary, and Treasurer are eligible for renomination to the same position without limit. The Past President shall not be eligible for immediate renomination as First Vice President. All members of the Chapter will be given the opportunity to vote in the election. The election should take place by May 1. The election results shall be reported at the Annual Meeting.
ARTICLE VI - EXECUTIVE COMMITTEE
The Executive Committee shall consist of the officers described in Article IV.
ARTICLE VII - CHAPTER REPRESENTATIVE
The Representative to the Council of Chapters shall be a Regular Member of the Chapter. The Representative shall be elected every third year as part of the regular election held in conjunction with the Annual Meeting. The name of the Representative shall be sent to the ASA office before August 1 of that year. The Representative shall serve the Chapter for a period of three years following the pattern prescribed by the Council of Chapters.
ARTICLE VIII - MEETINGS
There shall be one annual business meeting held in Salt Lake County each October, which all Chapter members are encouraged to attend, and where the Chapter President shall speak on matters pertinent to the local chapter, the national organization, or the profession in general. Other regular meetings shall be held locally (south of Salt Lake County, Salt Lake County, north of Salt Lake County) under the direction of the officer in the Presidential cycle (President, First Vice President, or Past President) residing in that local area. There will be at least one, and preferably two, local meetings held in each local area each year. Once a local meeting is scheduled, the Secretary will notify all chapter members of the upcoming meeting. All chapter members are invited to any local meeting.
The Executive Committee will meet at least one time a year in the eight-week period preceding the Annual Meeting, and this meeting should be held in Salt Lake County or via video conferencing. Other meetings of the Executive Committee will be at the discretion of the President.
ARTICLE IX - FINANCE
Any changes in the amount of the annual Chapter dues, for regular, associate and student members, shall be recommended by the Executive Committee and approved by a majority of members voting at the Annual Meeting of the Chapter. Notice of the proposed dues changes shall have been sent to each member at least two weeks prior to the date of the meeting. (A response received from a member at least 24 hours prior to the meeting, will be considered the same as the vote of a member attending the meeting.)
The Executive Committee shall be responsible for overseeing the financial operations of the Chapter and for insuring the fiscal soundness of such operations.
ARTICLE X - NATIONAL CONSTITUTION
The Constitution and By-Laws of the Chapter shall at all times be in harmony with the Constitution and By-Laws of the American Statistical Association and to this end, any and all applicable provisions of the Constitution of the American Statistical Association shall be considered a part of this Constitution. Any provisions of the this Constitution which may be in conflict, at present or in the future, with the Constitution of the American Statistical Association shall be null and void.
ARTICLE XI - AMENDMENTS
This Constitution may be amended by an affirmative 2/3 (two-thirds) vote of the votes cast at any Annual Chapter meeting, provided notices of such a meeting and the proposed amendment shall have been sent to each member at least two weeks prior to the date of such a meeting. Members may vote at the Annual Meeting or by returning a ballot to the Secretary at least 24 hours prior to the Annual Meeting. Changes to the Constitution become effective immediately upon ratification.
ARTICLE XII - DISSOLUTION
Upon the dissolution of the Chapter, assets shall be distributed to the AMERICAN STATISTICAL ASSOCIATION, 1429 Duke Street, Alexandria, Virginia 22314, for one or more exempt purposes within the meaning of Section 501(c)(3) or the Internal Revenue Code of 1954, or corresponding Section of any future Federal tax codes.
