Constitution

ARTICLE I - NAME

This organization shall be known as the Northeastern Illinois Chapter of the American Statistical Association.

ARTICLE II - PURPOSE

The purpose of this organization shall be to foster statistics and its applications and promote the interests of the statistical profession among all groups in the Northeastern Illinois area having an interest in or being concerned with statistics. The Chapter is organized and operated exclusively for scientific and educational purposes.

ARTICLE III - MEMBERSHIP

Membership in the Chapter shall be by approval of the Chapter Executive Committee. This committee may delegate the function of approval. Membership categories for this organization may include both individuals and organizations. Except as otherwise provided by the Constitution and Bylaws the right to vote, to sign referendum petitions, to hold office and to sign nominating petitions shall be limited to individual members. Individual membership categories will include, but not necessarily be limited to the following:
REGULAR MEMBERS: Persons admitted to membership and holding Full membership in the American Statistical Association.
ASSOCIATE MEMBERS: Persons admitted to membership who are interested in statistics in general or the organization in particular, who are not members of the American Statistical Association. Associate members are entitled to all the privileges of membership except that they may not hold office.
STUDENT MEMBERS: Persons admitted to membership who are full-time undergraduate or graduate students at a local college or university. Student members may not hold office.

ARTICLE IV - EXECUTIVE COMMITTEE

The business and professional conduct of the Chapter shall be managed by an Executive Committee consisting of the Chapter Officers, and such Chairs of committees and others as the President shall appoint with the advice of the Executive Committee. The Officers and Chairs of committees shall have votes on routine business and professional matters. Only Officers may vote on changes to the Bylaws or proposals to change the Constitution. Meetings of the Executive Committee shall be held whenever called by the President or requested by a majority of the committee members.

ARTICLE V - OFFICERS

The officers of the Chapter shall be a President, Past President, President-Elect, Secretary, Treasurer and Representative to the Association's Council of Chapters. The officers, with the exception of the Council of Chapters Representative, shall be elected. The Representative to the Association's Council of Chapters shall be appointed by the Executive Committee on a schedule established by the Association's Council of Chapters. The offices of Secretary and Treasurer may be combined at the discretion of the Executive Committee. The office of Representative to the Association's Council of Chapters may be combined with any elected office at the discretion of the Executive Committee. When so combined, the incumbent of each combined office shall have a single vote on the Executive Committee.

All officers shall be full members of the Association. No individual may serve as more than one officer except as provided for in the Constitution and Bylaws. The Executive Committee shall fill any vacancy which occurs in an office between elections except as provided for in the Constitution and Bylaws.

ARTICLE VI - METHOD OF ELECTION

The Nominating Committee shall annually select at least one candidate for each elective office scheduled for election that year. Election of officers will be held at an annual meeting designated for that purpose or by mail, subject to provisions of the Bylaws. A majority vote of Regular and Associate Members casting ballots shall elect.

ARTICLE VII - TERMS OF OFFICE

Once elected to the position of President-Elect, the incumbent shall normally serve a six-year term. The first two years shall be as President-Elect, the third and fourth years as President and the fifth and sixth years as Past President. Once appointed to the position of Representative to the Association's Council of Chapters, the incumbent shall normally serve a term of office established by the Association's Council of Chapters. Terms of office for elected officers shall be from the beginning of January through December of the year following election, but each office holder shall serve until a successor takes office.

ARTICLE VIII - COMMITTEES

The Committees of the organization shall consist of the Executive Committee, the Nominating Committee, other Standing Committees which are named in the Bylaws and such Special Committees as may be established by the President with the advice of the Executive Committee. The Nominating Committee, a Standing Committee, shall be appointed by the President-Elect with the advice of the Executive Committee.

ARTICLE IX - MEETINGS

The Chapter shall sponsor at least one meeting each calendar year, including a general business meeting. The meetings will be held at a time and place designated by the President or Executive Committee.

ARTICLE X - ASSOCIATION WITH OTHER ORGANIZATIONS

A nonprofit organization interested in the purposes of this Chapter and whose own purposes are related to those of this Chapter may become a cooperating or affiliated society, provided that this grouping will result in cooperation advantageous to both groups. The Executive Committee may enter into cooperative working arrangements with such organizations for promoting the objectives of
the Chapter. Such cooperative working arrangements may include: (1) The exchange of representatives to each other's governing bodies or committees and (2) Cooperative financial, conference, publication or other working arrangements. No cooperative working arrangement may be entered into by the Executive Committee which violates any article of the Chapter's Constitution or Bylaws or results in the loss of the Chapter's nonprofit status.

ARTICLE XI - NATIONAL CONSTITUTION

Any and all applicable provisions of the Constitution of the American Statistical Association shall be considered a part of this constitution and automatically supersede any conflicting provisions of this constitution.

ARTICLE XII - AMENDMENTS

Amendments to the Constitution may be proposed by the Executive Committee or a petition signed by at least ten (10) individual members. An amendment originating by petition shall be referred to the Executive Committee for its recommendation as to ratification. Following action by the Executive Committee, the Constitution may be amended by an affirmative two-thirds (2/3) vote of the Chapter members voting by mail ballot or at any general meeting of the Chapter. If voting is by mail ballot, the proposed amendment shall be sent to each voting member along with the mail ballot. The closing date for ballot return will allow at least fourteen (14) days from the date of mailing. If voting is to be held at a general meeting, notices of such meeting and of the proposed amendment shall have been sent to each voting member at least fourteen (14) days before the date of the meeting at which the proposed amendment is to be voted upon.

ARTICLE XIII - DISSOLUTION

The Chapter may be dissolved at any time by a vote of two- thirds (2/3) of the members present at a meeting of the Chapter called for that purpose. Notice of such a meeting and its purpose shall be sent to each voting member at least fourteen (14) days before the date of the meeting. In the event of dissolution of the Northeastern Illinois Chapter, the officers shall, after paying or making provision for payment and discharge of all of the liabilities of the Chapter, distribute all of the remaining net assets of said Chapter to the American Statistical Association exclusively for charitable, scientific, literary, and educational purposes. The American Statistical Association is an exempt organization under Section 501(c)(3) of the Internal Revenue Code.
